Terms & Conditions

1. Introduction

These Terms & Conditions (“Terms”) govern your use of FinAssure, an assessment tool operated by Clarian Solutions Ltd (Company Number: 16275393) (“we”, “us”, “our”, or “Clarian”).

By accessing or using FinAssure, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

2. Service Description

FinAssure is a Software-as-a-Service (SaaS) platform that provides vulnerability assessment tools to help organisations understand customer vulnerabilities. The Service is provided on a subscription basis.

3. Account Registration and Eligibility

3.1 Account Creation

To use FinAssure, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3.3 Account Responsibility

You are responsible for all activities that occur under your account and for ensuring that your use complies with these Terms and applicable laws.

4. Subscription and Billing

4.1 Subscription Plans

FinAssure is offered on a monthly subscription basis. Pricing and plan details are available on our website and may be updated from time to time.

4.2 Payment Information Collection

You are required to provide valid payment information (such as credit or debit card details) at the time of account registration, including when signing up for a free trial. Your payment information will be securely stored by Stripe, our third-party payment processor, and will be used to process subscription fees when they become due.

4.3 Payment Processing

All payments are processed securely through Stripe, our third-party payment processor. By providing your payment details, you authorise us to charge your chosen payment method for the applicable subscription fees.

4.4 Monthly Billing

Subscriptions are billed monthly in advance. Your subscription will automatically renew each month unless cancelled in accordance with these Terms.

4.5 Payment Failure

If payment fails, we may suspend your access to the Service until payment is resolved. Continued payment failures may result in account termination.

5. Free Trial

5.1 Trial Period

We may offer a free trial period for new users. The duration and terms of any trial will be specified at the time of registration. To access a free trial, you must provide valid payment information as set out in Section 4.2. You will not be charged during the trial period.

5.2 Trial Communications

During your trial period, we reserve the right to contact you regarding your use of the Service, including but not limited to:

  • Onboarding assistance
  • Feature updates and tips
  • Feedback requests
  • Subscription information

5.3 Privacy During Trial

Your contact details and payment information collected during the trial will not be shared with third parties, except as necessary for Service provision, payment processing, or as required by law.

5.4 Automatic Conversion to Paid Subscription

At the end of your trial period, your account will automatically convert to a paid subscription and your stored payment method will be charged the applicable subscription fee, unless you cancel before the trial period ends. We will send you a reminder before your trial expires to notify you of the upcoming charge.

5.5 Cancellation During Trial

You may cancel at any time during your trial period without charge through your account settings or by contacting us at support@finassure.co.uk. If you cancel during the trial period, you will retain access to the Service until the end of the trial, after which your access will cease and no charge will be applied.

6. Cancellation and Refunds

6.1 Cancellation Rights

You may cancel your subscription at any time through your account settings or by contacting us at support@finassure.co.uk.

6.2 End of Service Period

Upon cancellation, your subscription will remain active until the end of your current billing period. You will continue to have full access to the Service during this time.

6.3 No Refunds

Subscription fees are non-refundable, except where required by applicable law or in cases of Service failure on our part.

6.4 Data Retention After Cancellation

Following cancellation and the end of your billing period, your data will be retained for a reasonable period to allow for potential reactivation, after which it will be permanently deleted.

7. Acceptable Use

7.1 Permitted Use

You may use FinAssure only for lawful business purposes in accordance with these Terms and applicable laws.

7.2 Prohibited Activities

You must not:

  • Use the Service for any illegal or unauthorised purpose
  • Attempt to gain unauthorised access to our systems
  • Interfere with or disrupt the Service
  • Upload malicious code or content
  • Violate any applicable laws or regulations
  • Use the Service to harass, abuse, or harm others

7.3 Data Accuracy

You are responsible for ensuring that any data you input into the Service is accurate and that you have the right to process such data.

8. Intellectual Property

8.1 Our Rights

FinAssure, including all software, content, and materials, is owned by Clarian Solutions Ltd and is protected by intellectual property laws. We retain all rights not expressly granted to you.

8.2 Your Rights

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to use FinAssure during your subscription period.

8.3 Your Data

You retain ownership of any data you input into the Service. By using the Service, you grant us a licence to process your data solely for the purpose of providing the Service.

9. Service Availability and Support

9.1 Service Levels

Whilst we strive to provide a reliable service, we do not guarantee uninterrupted availability. We may perform maintenance that temporarily affects Service availability.

9.2 Support

We provide support via email at support@finassure.co.uk. We aim to respond to support requests within a reasonable timeframe during business hours.

9.3 Updates and Changes

We may update or modify the Service from time to time. We will provide reasonable notice of material changes that affect functionality.

10. Data Protection and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which forms part of these Terms. Please review our Privacy Policy to understand our data practices.

11. Limitation of Liability

11.1 Service Provision

The Service is provided “as is” without warranties of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 Liability Limits

To the maximum extent permitted by law, our total liability to you for any claims arising from or relating to the Service shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

11.3 Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

12. Indemnification

You agree to indemnify and hold harmless Clarian Solutions Ltd from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

13.1 Termination by You

You may terminate your account at any time by cancelling your subscription as described in Section 6.

13.2 Termination by Us

We may terminate your account immediately if:

  • You breach these Terms
  • You fail to pay applicable fees
  • We are required to do so by law
  • We decide to discontinue the Service

13.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will continue to apply.

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of England and Wales.

14.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.3 Dispute Resolution

Before initiating legal proceedings, we encourage you to contact us at support@finassure.co.uk to resolve any disputes amicably.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

15.2 Amendments

We may modify these Terms at any time by posting updated Terms on our website. Continued use of the Service after such changes constitutes acceptance of the new Terms.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

15.5 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations without restriction.
